    GENERAL


    These terms and conditions (the Terms) constitute an agreement between MB DAS Projektai, registration number 305646572, registered domicile at Visalaukio street 75, LT-08456 Vilnius, Lithuania (the Seller) and you, based on which the Seller will make it possible for you to purchase goods (the Products) sold at SHOPANDRACE online store (the E-shop).

    You may only purchase from the E-shop if you have the legal capacity to form a binding contract with the Seller under applicable law and you agree to comply with these Terms and applicable law. If you are under 18 years of age, you may only purchase from the E-shop with the consent of your parent or other legal representative. By placing an order, you confirm that you are at least 18 years old or that you have the consent of your parents or other legal representative.


    The E-shop is primarily intended for professionals who purchase Products for purposes related to their business, trade, craft, or profession. If you are not a professional, we recommend that you contact the Seller or a professional who will help you choose the Products you need and that are suitable for you before placing an order in the E-shop.


    PURCHASING


    The E-shop offers Products that the Seller has in stock and Products that the Seller will order from the manufacturer upon your order. Once you have selected the Products that are in stock, a shopping cart will be created based on your selection. If the Products displayed in the E-shop cannot be added to the shopping cart, it means that they are available for order. To order them, please contact the Seller by email at [email protected]. In the latter case, the order will be coordinated and processed by email.


    After forming a shopping cart or submitting an order to the Seller, you must provide the information necessary for the delivery of the selected Products. Please ensure that the information provided is correct and that the Products ordered meet your requirements. You have the opportunity to correct any errors before confirming your order. The information you provide is processed for the purposes and in the manner set out in the Privacy Policy.


    By placing an order, you agree to pay the price indicated in the order for the Products. The price of the Product indicated in the E-shop and in the order includes all taxes, but does not include the delivery fee, which you will have to pay additionally (unless the Seller specifies otherwise). Prices are indicated by the Seller in euros.


    You can pay for the Goods in the following ways: electronic banking, credit card, bank transfer, other methods specified in the E-shop.


    Payment must be made immediately after placing the order.


    An order placed via the E-shop is considered to have been placed from the moment it is received by the Seller, and an order for Products agreed upon by e-mail is considered to have been placed from the moment it is agreed upon. In this case, it is considered that a contract has been concluded between you and the Seller. However, the Seller is only obliged to perform such a contract from the moment the Seller receives confirmation from the payment service provider that payment for the Products has been made.


    After submitting your order, an email will be sent to the email address you provided, specifying the ordered Products and the data you provided.


    Upon receiving notification that you have paid for the ordered Products, the Seller undertakes to fulfill your order.


    PRODUCT CHARACTERISTICS AND QUALITY


    Characteristics of the Products will be included in each description of the Products provided in the E-shop. The Seller will seek to ensure that the Products comply with the legal requirements and are suitable for their intended use.


    By placing an order, you acknowledge being aware of the fact and understand that the colour, shape, or other features of the Products on display in the E-shop may not coincide with the actual size, shape, or colour of the Products due to the characteristics or settings of the monitor/other device being used by you. Such differences will not constitute defects of the Products, except if such differences will be caused by the actions of the Seller or its related persons.


    The Seller undertakes to deliver Products that correspond to the information provided in the Product description in the E-shop. The Seller also undertakes to provide the specified range and quantity of Products, but will not be held liable for any inaccuracies resulting from your failure to provide correct information when placing an order.


    PRODUCT DELIVERY


    When ordering Products, you must select the delivery method and specify the delivery address. Delivery is available in the following ways: by courier, to self-service parcel terminals, or by other methods specified at the E-shop.


    The delivery time varies depending on whether the ordered Product is in the Seller's warehouse or needs to be ordered from the manufacturer. The delivery term for a specific Product is indicated in the Product description and the Seller may also specify the delivery date for the ordered Products by e-mail.


    Please note that all delivery and collection times are estimates only. We always endeavour to deliver orders as quickly as possible, but sometimes deliveries may take longer due to high order volumes or the availability of manufacturer or delivery service provider. Please check the delivery status information which is constantly updated by the Seller. Once your order has been dispatched, you can check the delivery status by entering a tracking number into the service provider's system.


    The Products will be packed depending on their nature to ensure their suitability for use upon delivery.


    When the Products are delivered by courier, you or your duly authorized representative must be present at the time of delivery. When accepting the Products, in the presence of the delivery service provider's representative (or when collecting from a parcel terminal – immediately after collection from the parcel terminal), you must carefully inspect the packaging and quantity of the Products. The packaging, protective film, packing tape, and shipment labels must be intact, and the weight of the shipment must match the specified weight. If you find any damage to the packaging or that the Product(s) you ordered are missing, you must inform the representative of the delivery service provider who is transferring the Product(s) to you and ensure that this is noted in the documents confirming receipt of the Products (waybill) (when the Products are delivered by courier). In all cases, upon delivery of the Products by courier or collection from a parcel terminal, if you notice any damage to the packaging or that the Products you ordered are missing, you must record the identified defects in photographs and/or video footage and immediately inform the Seller thereof.


    Upon receipt of the Products, you must unpack and inspect the Products within 3 working days of the date of receipt, but no later than the start of use or assembly or installation (where applicable), i.e., whether the quality, assortment, and completeness of the Products meet the terms of your order. If you find any discrepancies, you must immediately inform the Seller.


    REPLACEMENT OR RETURN OF PRODUCTS


    Products are not exchangeable or returnable


    When a business customer, i.e., a legal entity or natural person acting for purposes related to their business, trade, craft, or profession, makes a purchase in the E-shop, the Products are not exchangeable or returnable, unless otherwise expressly agreed with the Seller.


    Withdrawal within 14 days (for consumers only)


    If you purchase from the E-shop as a consumer (i.e. a natural person acting outside the scope of an economic activity (trade, business, craft, etc.)), you may return the Products within 14 calendar days of receipt. Returns may be made without giving any reason, i.e. by exercising your right of withdrawal from a distance contract as granted to you by Lithuanian and EU law.


    Please note that certain Products offered in the E-shop fall under the exceptions specified in Article 6.228(10) Part 2 of the Civil Code of the Republic of Lithuania and consumers do not have the right of withdrawal as described in the previous paragraph. Therefore, you are not entitled to withdraw from the contract and return the sealed Products which are not suitable for return due to health protection or hygiene reasons and were unsealed after delivery (for example, underwear).


    If you withdraw from the contract, the returned Products must be unused, undamaged, in their original packaging, with tags/labels and of merchantable quality. We will consider you to have complied with this requirement if, in inspecting the Products, you have carried out only such actions as are necessary to evaluate the Products and which you would normally carry out in inspecting the Products in a physical store.
    If you wish to exercise this right, you must contact the Seller by email immediately and in any event within 14 calendar days of receipt of the Products, enclosing proof of purchase. You can fill in a return form template here.


    In the event of withdrawal, the Products must be returned to the Seller at the address indicated at the top of these Terms immediately and in any event no later than 14 calendar days after you have sent your notice of withdrawal to the Seller by e-mail. In order to comply with the return period, the Products must be dispatched before the end of the 14 day period. You are responsible for the cost of returning the Products.


    If you withdraw from the contract, the Seller will refund the money you have paid for the Products and the delivery of the Products to your bank account no later than 14 calendar days after you have given notice of your withdrawal by email to the Seller, but no earlier than the date on which the Seller receives the returned Products (unless the Seller decides otherwise at its sole discretion).


    Defective Products


    The Seller does not provide any warranty for the Products. If the manufacturer of the Product has provided a warranty for the Product, please contact the manufacturer or their designated representative directly regarding its implementation. If the manufacturer of the Product has not provided a warranty, the Seller shall be liable only for non-compliance with the quality requirements of the Product, which existed at the time of delivery of the Product to you and became apparent no later than two years after delivery of the Product, in accordance with the procedure established by law.


    If the Products purchased from the E-shop are not of satisfactory quality, you may, in accordance with and within the time limits set by law, require the Seller to remedy the defects free of charge or to replace the defective Products or, in the cases set by applicable law, to reduce the price accordingly or to return the Products.


    If you are of the opinion that the Products purchased from the E-shop are not of satisfactory quality and have discovered defects, you must notify the Seller of this and of your choice of remedy by e-mail within two months of the date on which the defects were discovered. For this purpose, you should provide the Seller with a detailed description of the defect, including the time and circumstances in which the defect was discovered, together with photographs and any other relevant information that will enable the Seller to identify the defect.


    The consumer's rights with respect to the defective Products shall be exercised in accordance with Articles 6.364(1)-6.364(3) of the Civil Code of the Republic of Lithuania.


    INTELLECTUAL PROPERTY


    The Products are protected by trademarks and other marks belonging to the Seller and/or other parties. All intellectual property rights in the Products (or any part thereof) are also vested in the Seller and/or other parties.


    All trademarks and logos used by the E-shop, its domain name, the E-shop itself and its website (including all elements thereof, such as text, photographs, drawings and other material posted on the E-shop/the website), as well as the look, feel and design of each page of the E-shop/the website, and all intellectual property rights therein, belong exclusively to the Seller and/or other parties. You agree not to reproduce, modify or otherwise use such intellectual property without the separate written consent of such owner.


    LIABILITY


    You must provide the Seller with the information requested, which must be accurate and complete. You are responsible for ensuring that the delivery address is correct.
    The Seller's liability for the quality and delivery of the Products is the same as provided by applicable laws and regulations.


    In any event, you are responsible for protecting your login details. However, if you become aware of any unauthorised use of your login details, you should contact the Seller immediately.


    MODIFICATION AND DISCONTINUATION


    The Seller will be free to modify these Terms from time to time. The latest (valid) version of the Terms will always be available at the E-shop. You must read the Terms then in effect before confirming your order. When the order is confirmed, it will be governed by the Terms in effect on the date of confirmation.


    The Seller may stop selling online (close the E-shop) at any time. Such cessation of activity will not affect any contract of sale then in force.


    MISCELLANEOUS


    The laws of the Republic of Lithuania will apply to the execution and interpretation of these Terms and of each sale and purchase agreement.


    Any dispute, disagreement or claim arising out of, or in connection with, these Terms or any sale and purchase agreement concerned (including any breach, termination, or validity of the same) shall be settled by negotiation. If the parties fail to reach an agreement, the dispute shall be settled in accordance with the laws of the Republic of Lithuania. In Lithuania, the competent body for out-of-court settlement of consumer disputes arising from these Terms, is the State Consumer Rights Protection Service (address: A.     All notices and other communications relating to the purchase at the E-shop and to these Terms will be delivered via email (if to the Seller – at the email address indicated above, and if to you – at the email address given when placing your order).


    If any provision of these Terms is or becomes invalid (either in whole or in part) that will not affect the validity of the remaining provisions.
